Master Services Agreement

1. Purpose
This Master Services Agreement ("MSA") establishes the framework governing all professional services provided by Superior Solutions Consulting LLC ("SSC") to the Client. Individual Statements of Work ("SOW") executed under this MSA define specific deliverables, timelines, and fees.
2. Services
SSC agrees to provide technology advisory, fractional CTO/CIO, rapid prototyping, AI integration, and digital transformation services as described in each SOW. SSC reserves the right to utilize qualified subcontractors under confidentiality obligations.
3. Client Responsibilities
Client agrees to provide timely access to relevant systems, personnel, and documentation necessary for service delivery. Delays caused by Client unavailability may result in timeline adjustments without fee reduction.
4. Fees & Invoicing
Retainer fees are billed monthly in advance. Project fees per SOW are billed 50% upon execution and 50% upon delivery unless otherwise specified. Overage fees are billed monthly in arrears at $325/hour.
5. Warranties
SSC warrants that services will be performed by qualified professionals in a manner consistent with industry standards. SSC does not warrant that deliverables will be error-free, but will address material defects within 30 days of written notice at no additional charge.
6. Indemnification
Each party agrees to indemnify and hold harmless the other from claims arising from its own gross negligence or willful misconduct. Client indemnifies SSC from third-party claims arising from Client's use of SSC deliverables outside the agreed scope.
7. Entire Agreement
This MSA, together with all executed SOWs, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements. Amendments must be in writing and signed by both parties.
