1. Definition of Confidential Information

Confidential Information means any non-public information disclosed by either party ("Disclosing Party") to the other ("Receiving Party"), whether oral, written, or digital, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

2. Obligations

The Receiving Party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it solely for the purpose of evaluating or executing the engagement; and (d) protect it with at least the same degree of care used for its own confidential information, but no less than reasonable care.

3. Exclusions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) is received from a third party without restriction; (c) was independently developed without use of the Confidential Information; or (d) is required to be disclosed by law or court order.

4. Term

This NDA is effective upon engagement commencement and remains in force for three (3) years following termination of the business relationship, or indefinitely for trade secrets.

5. Return of Information

Upon written request or termination of the engagement, the Receiving Party shall promptly return or certifiably destroy all Confidential Information and any copies thereof.

6. Remedies

The parties acknowledge that breach of this NDA may cause irreparable harm for which monetary damages would be inadequate. Accordingly, the Disclosing Party is entitled to seek equitable relief, including injunction, in addition to all other remedies available at law.
